Amplitude announces its takeover of Statsig assets and platform operation

Amplitude announced it would operate Statsig’s platform and take its brand and customers. A later filing specifies customer-related assets and a nonexclusive technology license under a May 1 agreement, rather than a whole-company or original-team acquisition.

Public announcement and the filed asset scope

Amplitude’s May 5 announcement described taking Statsig’s brand and customers and maintaining the platform while the original Statsig team worked at OpenAI. That is the public announcement date, distinct from the May 1 agreement reported in its subsequent filing. [1][2][3]

The filing identifies customer contracts, relationships, order backlog, trade name and a perpetual nonexclusive license to specified technology, accounted for as an asset acquisition. It does not establish that Amplitude bought the whole company, all technology exclusively or the original team. [2]
