An agreement on August 22, a closing on August 27
Intel announced an agreement linking $5.7 billion of accelerated CHIPS disbursements and $3.2 billion associated with Secure Enclave obligations to an equity transaction. The second component remained tied to performance and disbursements under that program. [1]
The later filing records closing on August 27, when Intel received the $5.7 billion and issued approximately 275 million shares. Another approximately 159 million shares entered escrow, with releases linked to Secure Enclave payments and separate rules for any remainder. [3]
Conditional warrants were a further component, exercisable if Intel ceased to own at least 51 percent of its foundry business. They were not the same as shares already held by the government. The announcement date therefore does not represent an immediate transfer of the entire headline stake or every potential dollar. [3]
