Packaging a model into an API
Replicate provides a platform where developers publish models and run them through an API. Its open-source Cog tool packages a model's execution environment and input/output interface. Replicate then supplies the hosted execution layer, so an application can use a model without operating its GPU servers directly. [1]
This combines model distribution with execution infrastructure. A model's developer supplies the artifact; Cog describes how to run it; the hosted platform handles API execution. That distinction explains why Replicate appears alongside model developers without making it the author of every model in its catalog. [1]
An agreement followed by a completed purchase
On November 17, 2025, Cloudflare agreed to acquire Replicate. Cloudflare's announcement described future integration with its developer platform and explicitly said the transaction still faced closing conditions. Replicate said its brand and API would continue. [3][1]
Cloudflare's later annual filing establishes the separate completion milestone: it acquired all outstanding Replicate shares on December 1, 2025, for $57.4 million in total purchase cash consideration. That filing supports the ownership relationship; the earlier agreement alone would not. [2]
